Features: A distribution agreement is one of the simplest and most commonly used methods for organizing goods abroad in foreign markets, and almost every exporting enterprise has distributors overseas. Therefore, many small and large exporters must face the issue of drafting international distribution contracts. To assist enterprises engaged in international trade and help lawyers who draft and negotiate contracts, the International Chamber of Commerce (ICC) has developed an International Distribution Model Contract. This model contract is not based on any specific domestic law but is governed by the practices of international trade and universally accepted legal principles, enhancing the certainty of the parties' rights and obligations and the predictability of dispute resolution costs. The current version is the second edition, revised in 2002, reflecting the new developments in the law of distribution agreements internationally, particularly the new provisions of the European Commission's antitrust law.
