Features: This book is one of the case studies in the "Concise Textbook of Legal Applications in Economics and Management for the 21st Century," representing an attempt to combine legal systems with case studies for explanation and analysis. Enterprises are the main participants in market economic activities, and multiple important socio-economic relationships within and outside enterprises have gradually been incorporated into the legal adjustment framework. This textbook aims to introduce readers to the norms that enterprises should follow in terms of organizational structure construction and changes, enterprise management, and related social activities by compiling or citing representative cases and combining them with the current legal system for enterprises. The textbook is divided into five parts, covering legal systems related to state-owned enterprises, sole proprietorships and partnerships, foreign-invested enterprises, companies, and enterprise bankruptcy. Each part consists of two sections: the first section is "Overview," which introduces relevant theories, legislation, and implementation; the second section is "Legal Applications," which focuses on legal and jurisprudential analysis of typical cases and proposes scholarly recommendations for addressing existing issues. The development of enterprise legal governance is a dynamic process. During China's system transition, there exist enterprise forms in transformation, whose management practices exhibit typical Eastern ethical characteristics. Therefore, using strict and standardized norms to regulate corporate behavior clearly faces obstacles in terms of ideology and technology. This not only requires corporate practitioners to continuously innovate and rationally seek a management culture suitable for China's context during the reform, but also demands lawmakers to draw on local resources and minimize blind imitation of foreign experiences. This is clearly not something a case study textbook can resolve.
