Features: "Principles of Corporate Governance" does not cover the entire company law but is limited to several selected topics: the objectives and conduct of business companies, company structure, the duty of due care, the duty of fair dealing, the role of directors and shareholders in control and public acquisition transactions, and related remedies. The name of the project reflects its limited scope of work. The reason it is named "Principles of Corporate Governance" is partly to convey that this work does not cover the entirety of company law. To some extent, the title may seem overly simple, as almost every rule of company law is directly or indirectly related to corporate governance. However, as planned, "Principles of Corporate Governance" only discusses issues that the Institute of American Law considers to constitute the core of corporate governance.
