Features: Since the late 1980s of the 20th century, cross-border mergers and acquisitions have become a global trend and have become the main means of foreign direct investment by multinational corporations. With the advent of economic globalization, the knowledge economy, and the information technology era, the degree of openness of markets in various countries has been continuously increasing, and the competition among multinational corporations has been intensifying. The Chinese market, with its large market capacity and broad development potential, has become and will continue to be the main field of competition for multinational corporations. Since the 1990s, foreign investment entering China through mergers and acquisitions has become an important trend in foreign direct investment in China, bringing both positive and negative impacts on the Chinese economy. This book studies the government regulation of foreign investment in mergers and acquisitions of Chinese enterprises, divided into seven chapters.
Chapter 1: Theoretical Analysis of Foreign Investment Mergers and Acquisitions and Government Regulation. Based on defining foreign investment mergers and acquisitions, this chapter analyzes theories of foreign direct investment. Subsequently, it examines theories of government regulation.
Chapter 2: Analysis of the Motivations for Foreign Investment Mergers and Acquisitions. First, the chapter analyzes theories of mergers and acquisitions, and then conducts an empirical analysis of the motivations for foreign investment in mergers and acquisitions of Chinese enterprises. It examines aspects such as location selection, method selection, and timing selection of foreign investment mergers and acquisitions.
Chapter 3: Real-World Basis for Government Regulation of Foreign Investment Mergers and Acquisitions. This chapter discusses three aspects:
1. The methods and impacts of foreign investment mergers and acquisitions of Chinese enterprises.
2. Analysis of the specific basis for government regulation of foreign investment mergers and acquisitions from the perspectives of market, enterprises, and government behavior.
3. Through an analysis of several cases of foreign investment mergers and acquisitions of Chinese enterprises, it validates the basis for government regulation of such activities.
Chapter 4: Government Regulation of Foreign Investment Mergers and Acquisitions in Foreign Countries. This chapter examines issues of foreign investment mergers and acquisitions in developed and developing countries. In developed countries, the United States, Germany, and Japan are selected as representatives to explore the theory and practice of government regulation of foreign investment mergers and acquisitions. In developing countries, it examines the experiences and lessons of government regulation of foreign investment mergers and acquisitions in countries such as Brazil and South Korea, and makes comparisons and references based on this foundation.
Chapter 5: Setting Goals and Analyzing the Current Status of Government Regulation of Foreign Investment Mergers and Acquisitions. First, this chapter analyzes how to set policy goals for government regulation of foreign investment mergers and acquisitions. Then, it reviews the practice of government regulation of foreign investment mergers and acquisitions in China and points out existing shortcomings.
Chapter 6: Approaches to Government Regulation of Foreign Investment Mergers and Acquisitions. This chapter discusses two aspects:
1. Direct regulation of foreign investment mergers and acquisitions from the perspectives of both acquiring and target enterprises.
2. Indirect regulation of foreign investment mergers and acquisitions from the aspects of government regulation rules, government regulation systems, and the mergers and acquisitions market.
Chapter 7: Nationalization of Foreign Investment Mergers and Acquisitions and Administrative Remedies. This chapter focuses on analyzing the issues of nationalization of foreign investment mergers and acquisitions and administrative remedies for such activities.
