Features: In terms of topic selection, this book has strong practical significance. Management buyouts, CEO systems, director liability insurance, sponsor systems, aligned action persons, and the equity separation reform are all hot legal issues in the securities market in recent years, and they cannot be avoided. Conducting specialized discussions on these issues undoubtedly has significant practical relevance. In terms of content, this book has a certain level of originality. When studying corporate governance and regulatory issues of listed companies, many researchers either only discuss corporate governance structures from internal relationships or only discuss market regulatory mechanisms from external relationships. The author of this book believes that the governance and regulation of listed companies are mutually supportive; a mature securities market order depends on the effective combination of self-governance and external governance. When discussing many issues, the author combines governance and regulation, analyzing the regulatory effects of legal rules on listed companies while examining their governance effects, and vice versa. This avoids research conclusions that only see the trees and miss the forest. In terms of methodology, this book places a comparative emphasis on empirical analysis. The author combines typical events and cases from the governance and regulation practices of listed companies both domestically and internationally to introduce, analyze, and substantiate research conclusions. The practice of corporate governance and regulation of listed companies is extremely active, and theoretical research must reflect and guide the vibrant economic life. Only by conducting theoretical analysis based on thorough empirical research can the persuasiveness of research conclusions be enhanced and legal issues of corporate governance and regulation of listed companies be better addressed. Of course, the book still falls slightly short in explaining some issues in detail. For example, in the chapter on "Management Buyouts," it did not provide detailed discussions on the widely concerned issue of state-owned asset supervision. In the chapter on "CEO Systems," whether the introduction of human capital theory and corporate contract theory in economics can solve related legal issues is still open to question. In the chapter on "Sponsor Systems," comparative law research occupies a significant portion, but it did not provide detailed ideas for improving China's sponsor system. I believe that the author will be able to delve deeper into such issues in future academic research.
