Features: This book is compiled based on the Chinese version of the "Principles of International Commercial Contracts" published by the International Uniform Private Law Association in 1994, and adapted from the English version of the "Principles" published by the International Uniform Private Law Association in 2004. For the convenience of readers, this book adopts a bilingual (Chinese-English) format. The main purpose of the 2004 edition of the "Principles" is to propose legal solutions to various interests issues arising in the international commercial society. Compared to the 1994 edition of the "Principles," five additional chapters have been added, covering agency, third-party rights, offsetting, assignment of rights, assignment of obligations, and assignment of contracts, as well as limitation periods. Additionally, Chapter 1 and Chapter 5 each include one new provision, respectively concerning inconsistent acts (Article 1.8) and agreement to terminate (Article 5.1.9). The 2004 edition consists of a total of 185 provisions (compared to 120 provisions in the 1994 edition). The International Uniform Private Law Association Council is confident that the international legal and commercial society covered by the "Principles" will appreciate its significant value and benefit greatly from its use. In fact, over the past decade, the practical success of the "Principles" has exceeded all expectations. We also hope that the bilingual (Chinese-English) edition of the 2004 edition of the "Principles" will be well-received by legislators, merchants, lawyers, arbitrators, and judges, and will be more widely known and accepted by the world.
