Features: This book compiles the current standard texts related to stock, fund, and bond businesses in the domestic securities market, divided into four parts: Part I is the Stock Section, mainly including the initial public offering of stocks, post-listing rights offerings and stock splits, relevant important information disclosure and announcements, etc.; Part II is the Fund Section, mainly including the offering, listing, and expansion of closed-end funds, as well as the offering prospectus of Huatai Innovation Open-Ended Fund; Part III is the Bond Section, mainly including the offering, issuance, and conversion of convertible bonds, as well as the issuance and listing of corporate bonds; Part IV is the Appendix, which includes the investment value analysis report and an analysis of MBO (Management Buyout). During the selection process, we adhered to the following principles: First, timeliness—these texts are all written according to the latest regulatory requirements for securities businesses issued by the national securities regulatory authorities. For example, the prospectus for the initial public offering of Beijing Yongyou Software Co., Ltd. that we selected was prepared in accordance with the latest requirements of the CSRC for the securities issuance approval system and was publicly disclosed in the media designated by the CSRC. This year, the CSRC began requiring listed companies to disclose quarterly reports, especially for ST and PT listed companies, so we consciously selected three listed companies for comparison. Second, consistency—in the selection process, we tried to use representative companies to reflect the process of securities operations. For example, Taihe Fund includes the prospectus, listing announcement, and even the annual report disclosures. Third, importance—we fully considered the representativeness and importance of the selected texts, but due to space constraints, we appropriately omitted some content from the texts without affecting readers' understanding of the standardized texts. We kindly ask readers to pay attention. Additionally, with the rapid development of the domestic securities market and the continuous improvement of relevant securities laws and regulations, today's standards may become outdated tomorrow. Please note this when referring to this book.
When reading this book in conjunction with the laws and regulations section of the series textbooks, it will help readers grasp the content and writing requirements of these standardized texts, making it easier to understand the essence of the relevant laws and regulations. It can be said that this book is the practical application of these laws and regulations. We believe that whether for listed companies, securities firms, or those engaged in teaching and research, this book will provide valuable assistance.
