Features: The United Kingdom is a representative country of the self-regulating securities law system. The main securities regulations of the UK are primarily contained in the 1948 Company Act, the 1981 Company Act, and the 1989 Company Act. Additionally, there are other regulations related to finance and securities, such as the 1958 Prevention of Fraud in Investment Act, the 1962 Deposit Protection Act, and the 1986 Financial Services Act (amended in 2000 to become the Financial Services and Markets Act). In practice, the London Stock Exchange of the UK actually exercises the daily management functions of the UK securities market, with the London Stock Exchange having the most extensive experience in management. In addition to the aforementioned statutes, UK securities regulations also include many case laws established by the courts, which are the actual functioning laws, as statutes enacted by the UK legislative body often require interpretation by the courts to take effect. Case law is the primary legal source of the common law system. For this reason, we have selected some cases decided by UK courts and elaborated on the basic legal rules of UK securities law through the review of these cases. This book also covers the securities legal system of Germany, a representative country of the securities intermediary regulatory model, and provides a certain analysis and research on the securities legal rules formulated by the European Union.
