2. The theme of this book is "Cross-Border Mergers and Acquisitions and Restructuring of China's Large Enterprise Groups." As Chinese enterprises implement the "Going Global" strategy, the pace of overseas mergers and acquisitions and restructuring by China's large enterprise groups is accelerating. In the past two years, Chinese large enterprise groups have launched a wave of cross-border mergers and acquisitions, drawing significant international attention. Meanwhile, the trend of large enterprises from abroad coming to China for mergers and acquisitions is becoming increasingly evident. Both types of mergers and acquisitions have had a significant impact on China's industrial development landscape and the strategic posture of large enterprises. One of the research objectives of this project is to explore how to promote the development of Chinese enterprises and enhance the quality of China's industries through cross-border mergers and acquisitions and restructuring, as well as how to mitigate the risks of such transactions and achieve strategic synergies.
3. Statistical Analysis Sample: The statistical analysis sample for this book consists of large enterprise groups with sales revenue in the top 500, as listed by the Enterprise Survey Team of the National Bureau of Statistics. The enterprise groups included in the National Bureau of Statistics' survey scope are: central enterprise groups, state pilot enterprise groups approved by the State Council, enterprise groups approved by the competent authorities under the State Council, enterprise groups approved by the people's governments of provinces, autonomous regions, and municipalities directly under the Central Government, and other types of enterprise groups with annual operating income (the sum of primary business income and other business income) and total assets exceeding 500 million yuan. However, they do not include enterprise groups from Hong Kong, Macao, and Taiwan. The statistical scope for the operating income and total assets of the enterprise groups includes the parent company, wholly-owned subsidiaries (units) both within and outside China, absolutely controlled subsidiaries (units), and relatively controlled subsidiaries (units); it excludes equity-participating and cooperative enterprises (units). Except for a very small number of enterprise groups that have not yet established consolidated financial reporting systems, the financial data of the top 500 large enterprise groups are based on consolidated financial statements. Due to differences in naming conventions, some enterprise groups in this book are referred to as×× Group, while others are simply referred to by the name of their parent company×× General (Group, Holding) Company. However, this does not affect their statistical classification as enterprise groups. The aforementioned enterprise groups cover the following 10 industry categories: (1) Agriculture, Forestry, Animal Husbandry, and Fishery Industry; (2) Mining and Quarrying Industry; (3) Manufacturing Industry; (4) Production and Supply of Electricity, Gas, and Water; (5) Construction Industry; (6) Transportation and Post and Telecommunications Industry; (7) Wholesale and Retail Trade and Catering Industry; (8) Financial and Insurance Industry; (9) Real Estate Industry; (10) Other Industries. In addition to the statistical analysis sample mentioned above, this book also extensively collects and analyzes data from other enterprises and enterprise groups to make the research report more comprehensive and enriched.
