Features: The development and improvement of a market economy require a highly qualified team of economic intermediaries. As an important component of this team, the growth, expansion, and institutional soundness of the certified public accountant (CPA) workforce play a significant supporting role in the development of China's market economy. China's national leaders have once said that the CPA profession is a cause that will last for generations. The high expectations and evaluation of the CPA profession by national leaders from a strategic perspective are unprecedented. This serves as both a and encouragement to CPAs and is also a high honor bestowed upon them. Nearly two decades have passed since the revival of the CPA profession in China, and CPA firms and the practicing CPA workforce have rapidly grown and strengthened. The rapid development of CPA practitioners is truly astonishing. With the swift growth of the Chinese economy, especially against the backdrop of the WTO, the pace of economic globalization has accelerated, and China's economy has increasingly integrated into the global economic tide. In this process, the construction of the CPA workforce (in terms of both quantity and quality) has become increasingly important. However, in reality, the current CPA workforce in China falls short of meeting the urgent needs of a rapidly developing economy and its alignment with international standards, both in terms of quantity and the quality of practitioners. Fortunately, due to the nature of the CPA profession and its growing importance in China's national economy, tens of thousands of new entrants join the ranks of those preparing for the CPA exam each year, forming a vast pool of talent. Many outstanding university graduates are also eager to pursue the CPA profession. This has provided the Chinese CPA industry with a steady influx of new talent. However, the requirements for CPA practice in China are very strict, and passing the CPA exam to obtain the CPA qualification certificate is the threshold for becoming a CPA. As a result, the competition for the exam is extremely fierce each year, with hundreds of thousands of candidates, yet only a few manage to succeed. The reasons for this are multifaceted. Among them, not choosing a suitable preparatory book that aligns with individual exam requirements is also a significant factor. Shanghai University of Finance and Economics Press has organized experienced faculty from the CPA exam preparation program at Shanghai University of Finance and Economics to keep pace with the evolving CPA exam trends and to timely revise and compile the each year. The authors of this series are mostly top-tier educators in the field of CPA training, who possess both high theoretical expertise and a deep understanding of CPA practical operations. For a long time, they have been committed to teaching at the frontline, training hundreds of thousands of students annually, and have made significant contributions to cultivating outstanding CPA talent. Therefore, it is only natural for them to write CPA preparatory materials. The Economic Law course is a discipline that combines both theoretical depth and practical application. It comprehensively introduces the main contents of China's current economic laws and regulations and emphasizes the ability of students to apply legal knowledge to solve practical problems. The content of this course textbook is divided into 14 chapters, which can be broadly categorized into five parts: Basic Knowledge of Economic Law, Corporate Law, Contract Law, Intellectual Property Law, and Economic Management Law. The Basic Knowledge of Economic Law part includes Chapter 1, which primarily covers topics such as an overview of economic law, economic legal relationships, legal acts and agency, statute of limitations, and legal liabilities for violating economic laws. The Corporate Law part includes Chapters 2, 4, 5, and 6, which specifically introduce China's laws on sole proprietorships, partnerships, state-owned industrial enterprises, joint-stock companies, joint ventures with foreign capital, cooperative enterprises with foreign capital, foreign-invested enterprises, and bankruptcy. Through this section, candidates should understand, familiarize themselves with, and master the regulations on the establishment conditions, organizational structures, management models, and financial accounting of these enterprises, as well as the legal provisions on bankruptcy, and be able to apply this knowledge to solve practical problems. The Contract Law part includes Chapters 8 and 9, which primarily cover the scope of application and basic principles of contract law, the formation of contracts, the validity of contracts, the performance of contracts, contract guarantees, the modification, assignment, and termination of contracts, as well as the liability for breach of contracts. It also introduces the basic provisions of 15 named contracts. The Intellectual Property Law part includes Chapter 13, which introduces the main contents of China's copyright law, patent law, trademark law, and anti-unfair competition law. The Economic Management Law part includes Chapters 3, 7, 10, 11, 12, and 14, which specifically cover the state's regulations on state-owned assets, securities, foreign exchange, payment settlements, bills, and accounting. Among these, the transfer of state-owned enterprise equity, the issuance and listing of securities, settlement methods, and the provisions on bills are key exam topics. This section always includes comprehensive questions in the annual exam.
