Features: Since the book "American Contract Law" was published by the China University of Political Science and Law in 1996, eight years have passed. Over these years, I have taught the course "Comparative Contract Law" to graduate students at the University of International Business and Economics, and "American Contract Law" has always been one of the textbooks used for this course. Many people have asked me: We are training Chinese legal professionals, why do we need to teach American contract law? To which, my understanding is: Learning the laws of developed countries is like learning ancient Chinese. If ancient Chinese is mastered well, learning modern Chinese will have a solid foundation. Similarly, if one has a relatively in-depth understanding of the laws in a certain field of law in developed countries, when studying the laws in the same field in our country, one may achieve not only knowing what is happening but also understanding why it is happening, and only then can one generalize and integrate. Currently, China's economy has gradually transformed into a market economy. Under market economy conditions, many social problems faced by different countries, including legal issues, often have similarities. This is particularly evident in the field of private law. Law is a branch of social sciences. As a science, its task is to reveal those things with regularity. And the principles, rules, and rules of law are precisely the revelation, generalization, and induction of these regularities. Today, when we are tackling many problems that have already been faced and solved by developed countries, when we can find keys from their legal literature that can help us solve doubts, what reason do we have to reject the reasonable components of them? At the time of this re-publication of "American Contract Law" by the University of International Business and Economics Press, due to the heavy workload of teaching, writing, and administrative tasks, I was unable to make more revisions to the book and only made localized corrections. I have also added discussion questions at the end of each chapter to help readers summarize the content. Please excuse me.
