The establishment of the corporate system has a milestone significance in the evolution of the legal subject system. In modern society, the corporate form of organization has participated in all aspects of social life. While the corporate system promotes social development and progress, many corporate organizations have also engaged in acts that disrupt the economic order and harm society, affecting healthy social development. Controlling the unlawful acts of corporations has become a common challenge faced by the laws of countries around the world today. The consensus in contemporary countries worldwide is that corporations bear civil legal liability and administrative legal liability. However, there is disagreement among countries in terms of criminal legislation, judicial practice, and theory on whether to use criminal law as the ultimate legal means to combat unlawful corporate acts.
