Features: From the perspective of legal practice in law firms, the transfer of company shareholders' equity (capital contribution transfer, share transfer) is a routine business for lawyers. The company shareholders' rights, expressed as company shares, are one of the property rights protected by law. Equity, also known as shareholders' rights, refers to the rights that limited liability company shareholders legally enjoy over the company's property, operations, and profits. Equity or shareholders' rights have commercial value, can be legally traded and transferred, and fluctuate with the company's performance and changes in market conditions. In a market economy, the exchange forms of goods have evolved from primitive to advanced, including barter, monetary transactions, paper currency transactions, negotiable instrument transactions, and the trading of tradable stocks and bonds, to today's company equity transactions. As one form of capital operations, equity transactions exist in various types of corporate organizations, such as limited liability companies, joint-stock companies, and listed joint-stock companies. The legal provisions, contractual agreements, transaction rules, and substantive requirements of equity transfers are all different. Here, we primarily explore the general principles and operational experiences of equity transfers in limited liability companies. Disputes arising from equity transfers are basically divided into two categories: one is disputes arising from the performance of equity transfer agreements, and the other is disputes over whether the equity transfer is legally valid. A comprehensive and detailed equity transfer agreement is composed of scientifically structured, clearly recorded, thorough, and logically sound contract terms. Contract terms should be specifically stipulated based on the actual situation, tailored to local conditions, and grounded in reality. Personalized terms are an effective supplement to transaction credit and an objective necessity for maintaining transaction security. Some terms have been tested over several years or even longer, representing a summary of experience and reflection on lessons learned. Practicing lawyers play a positive role in drafting and reviewing equity transfer agreements for clients, researching and mastering personalized terms to prevent fraud, reduce risks, minimize losses, and gain an advantage in litigation. The practice of law is an art and skill of legal practice, constantly improving and refining through practical experience and lessons. Corporate practice lawyers must not only proactively and specifically review, draft, and revise investment agreements and equity transfer agreements, provide legal analysis opinions, but also should be able to timely, objectively, and appropriately evaluate and predict legal consequences in the handling of various legal procedures such as company establishment, change, liquidation, and dissolution. They must also legally and accurately control and grasp the legal validity of company and shareholder actions, reduce and avoid legal liability risks and operational cost risks. From the equity transfer disputes handled by practicing lawyers, the vast majority of cases involve whether the legal validity of the equity transfer is protected by law. To properly handle limited liability company shareholders' rights transfer disputes, protect the legitimate rights and interests of the parties involved in the equity transfer, this book combines the experience and lessons learned from practicing lawyers handling such cases, based on laws, administrative regulations, the Supreme People's Court's interpretations, and specific provisions of government rules, to focus on researching and analyzing legal issues such as individual terms of the equity transfer contract, the determination of the legality of the transfer, and common disputes in equity transfers.
