Features: It is increasingly recognized that the cause of the state is the enterprise, and the national economic construction should prioritize the enterprise. To build a strong nation, one must first build strong enterprises. Only with powerful enterprises can a strong nation be established. The competition between nations is essentially a competition between enterprises. Whether enterprises can be well-managed is the key to whether national economic construction can be well-managed. So, how can enterprises or companies be managed well? Practice has proven that one important aspect is establishing a sound corporate governance structure. Only in this way can enterprises be truly well-managed. People have conducted extensive and in-depth discussions on this issue, with varying perspectives and opinions, each contributing their insights. Among these discussions, there are many valuable insights and practical suggestions worth disseminating and promoting for reference. For this reason, we have selected a large number of papers published in various magazines and journals, compiled the most important ones into this book, and divided them into "The Theory and Practice of Corporate Governance Structure" and "The Theory and Practice of Independent Directors" for publication, to serve all those concerned with this issue. This book is a collection of representative articles on the theory and practice of independent directors published in major national newspapers and magazines from 2001 to 2002, mainly including topics such as "Analysis of Independent Directors" and "The Independent Director System and the Governance of Listed Companies." These papers reflect the research and practical issues of China's independent director system in recent years. They are suitable for reference by undergraduate and graduate students in law and economics, as well as for research use by teaching and administrative personnel in companies.
