To facilitate the teaching of the "Independent Directors Training Program for Listed Companies," Tsinghua University School of Economics and Management has specifically organized a research team to conduct case studies on key corporate governance issues from cases published and handled by the CSC in recent years, which involve false financial reporting and harm to the interests of small and medium-sized shareholders. The content includes financial report fraud by listed companies, false statements in public stock offerings, insider control, large shareholders occupying massive funds of listed companies, control rights disputes, violations in information disclosure, unfair associated transactions, and false capital contribution by large shareholders. The selected cases include some listed companies as well as typical cases from the development of foreign securities markets.
The editors aim to reveal the severity and harmfulness of corporate governance flaws in China's listed companies and provide corresponding recommendations as references to help listed companies improve their corporate governance standards. This book can serve as a teaching material for listed companies to enhance corporate governance and standardize corporate operations. It is also suitable as a reference for teachers and students in universities and colleges majoring in economics, management, and legal research.
