Features: One of the fundamental driving forces behind the development of the Chinese stock market is the establishment of a new financing constraint mechanism for state-owned enterprises (SOEs). Based on property rights clarification and diversification, it involves deep-seated reforms and restructuring of the governance mechanisms of SOEs. Currently, companies with relative state control and absolute state control account for one-half and two-thirds, respectively, of the total number of listed companies on the Shanghai Stock Exchange. The governance quality of state-controlled listed companies directly impacts the healthy operation and sustainable development of the entire securities market. Based on field research and questionnaires conducted among over 300 listed companies, this report delves into aspects such as the reform of state-owned capital management systems, the relationship between state-owned controlling shareholders and listed companies, related transactions, compensation and incentive mechanisms, and the equity separation reform and corporate governance. It thoroughly explores the characteristics, progress, issues, and reform measures of the governance mechanisms of China's state-controlled listed companies, yielding many valuable conclusions.
