Features: On April 18, 2005, at the 8th China International E-commerce Conference, the "Network Trading Platform Service Specification," a set of industry standards in China's e-commerce field, was officially released at the Policy and Law Forum. The participating organizations in this specification included e-commerce companies such as eBay China, Yipai, Alibaba, Sina, IG05, Shouxin, Soyeide, and Yunwang. As a direct regulation for online transactions in a newly emerging field, the release of this specification attracted widespread attention from consumers, enterprises, government departments, academia, and the media.
A network trading platform refers to a website or network system that provides services for various types of e-commerce transactions (including B2B, B2C, and C2C transactions). Network trading platforms play a significant role in e-commerce. Standardized, healthy, orderly, and creditworthy network trading platform services are crucial for facilitating communication and cooperation between parties who may have never met or are geographically distant. They are an indispensable factor in reducing risks and promoting the smooth operation of e-commerce.
Network trading platforms have two main characteristics: First, they play a critical role in bridging the gap in e-commerce transactions, serving as a link between transaction parties, consumers, payment providers, delivery providers, telecom operators, and service providers, as well as certification service providers. They are the core of transaction services. Second, due to their unique position and role in e-commerce transactions, they face a wide range of legal issues, including those related to electronic contracts, consumer protection, privacy protection, credit management, information security, and monitoring of illegal and harmful information.
With the development of e-commerce, the number of network trading platforms in China has grown rapidly. Some successful and well-known platforms, such as eBay China and Alibaba, have established their own transaction models and management systems. There are also several network trading platforms that have joined forces to develop some standardized regulations. However, overall, these models or systems are fragmented, lacking uniformity and coordination. Relying solely on the efforts of individual platform operators cannot regulate the entire market behavior. It is necessary for enterprises to work together and use industry regulations to standardize their actions and the market.
Due to the unique position and role of network trading platforms in e-commerce transactions, with a large number of participants, broad scope, and diverse products, coupled with the virtual, cross-regional, and real-time nature of e-commerce itself, as well as the underdeveloped legal environment in this field in China, the legal status of network trading platforms remains unclear, leaving them exposed to risks such as legal, credit, and security risks. Eliminating these risks and ensuring the healthy development of network trading platforms require timely legislation, the establishment of comprehensive regulatory systems by enterprises, and the prompt issuance of relevant industry regulations and departmental rules.
It is precisely for these reasons that the China E-commerce Association, leveraging its advantages in organizing enterprises, communicating with the government, and liaising with experts, chose to use the flexible form of industry regulations to standardize e-commerce transactions by focusing on network trading platforms. It proposed the text and initiative for the "Network Trading Platform Service Specification." The main content of this specification includes definitions, basic provisions, restrictions on transaction objects, the establishment of platform systems, operation and management, information supervision, user registration, online transaction rules, user registration and service agreements, the preservation of transaction records, network transaction auxiliary services, consumer protection, privacy protection, online advertising and spam, fair competition, intellectual property protection, and penalties.
To further explore the various issues reflected in the specification regarding online transactions and to reveal the current state and problems of the legalization of online transactions in China, as well as to explore better solutions, we have compiled this book. It provides analyses and research from different perspectives and to varying degrees on several key legal issues faced by network trading platforms, including the legal environment of e-commerce in China, legal issues in online transactions, service rules for network trading platforms, the service specification for network trading platforms, the Electronic Signature Law, legal issues in online payments, legal issues in information security, and network real-name registration.
We hope this book will provide some assistance to all parties involved in online transactions. At the same time, as an exploration of a cutting-edge field, we sincerely hope to receive criticism and corrections from experts, scholars, and industry professionals!
