Features: The author has long been concerned with the modern corporate governance structure; regarding the legal system of independent directors, it has been six or seven years of reflection. In 2003, in the author's doctoral dissertation in law, a comparative systematic analysis and research on the independent director system had already been conducted from the perspectives of jurisprudence and corporate law. However, the author always felt that the issue was not yet resolved, the research conclusions were not satisfying, and there was still a desire for innovation and continuous research. This is the basic origin of the book that the author wants to convey to the readers. The book presented before the readers, although it studies a legal system, a new and timely social profession, and a legal phenomenon, strictly speaking, it is not a legal work but a monograph in sociology, and it is the author's research report as a postdoctoral fellow in the Institute of Sociology at the Chinese Academy of Social Sciences engaged in institutional sociology postdoctoral research. In February 2001, the author and Professor Li Hanlin, Deputy Director of the Institute of Sociology at the Chinese Academy of Social Sciences, as members of the 8th National Youth League Committee, accompanied the Mainland Outstanding Youth Lantern Festival Tour Group of the All-China Youth Federation to visit and examine the precious island of Taiwan for a fifteen-day visit. After a long period of meticulous revision, this article was completed. The book explores the emergence, development, transplantation, variation, and further construction of the independent director system in China from the perspective of sociology.
