1. 2. The theme of this book is "Cross-border Mergers and Acquisitions and Reorganization of China's Large Enterprise Groups." In the process of Chinese enterprises implementing the "Going Global" strategy, the pace of overseas mergers and acquisitions and reorganization by China's large enterprise groups is accelerating. Especially in the past two years, China's large enterprise groups have launched a wave of cross-border mergers and acquisitions overseas, attracting high attention internationally. At the same time, the trend of large enterprises from abroad coming to China for mergers and acquisitions and reorganization is becoming increasingly evident. Both types of mergers and acquisitions and reorganization have had a significant impact on China's industrial development landscape and the strategic posture of large enterprises. How to promote the development of Chinese enterprises and improve the quality of China's industries through cross-border mergers and acquisitions and reorganization, and how to avoid the risks of cross-border mergers and acquisitions and reorganization while achieving strategic synergies, are one of the research objectives of this project.
3. Statistical Analysis Sample of this Book: The statistical analysis sample of this book consists of large enterprise groups with sales revenue in the top 500, as listed by the Enterprise Survey Team of the National Bureau of Statistics. The enterprise groups included in the statistical scope of the Enterprise Survey Team of the National Bureau of Statistics include: central enterprise groups, state pilot enterprise groups approved by the State Council, enterprise groups approved by the competent authorities under the State Council, enterprise groups approved by the people's governments of provinces, autonomous regions, and municipalities directly under the Central Government, and other types of enterprise groups with annual operating income (the sum of primary business income and other business income) and total assets exceeding 500 million yuan. However, they do not include enterprise groups from Hong Kong, Macao, and Taiwan. The statistical scope of operating income and total assets of the enterprise groups includes the parent company of the enterprise group, its wholly-owned subsidiaries (units) both within and outside China, its absolutely controlling subsidiaries (units), and its relatively controlling subsidiaries (units); it does not include equity-participating and cooperative enterprises (units). Except for a very small number of enterprise groups that have not yet established a consolidated financial reporting system, the financial data of the top 500 large enterprise groups are consolidated financial reporting data. Due to differences in naming conventions, some enterprise groups in this book are referred to as××Group, while others are only referred to by the name of their parent company××General (Group, Holding) Company, but this does not affect their statistical scope as enterprise groups. The above-mentioned enterprise groups cover the following 10 industry categories: (1) Agriculture, Forestry, Animal Husbandry, and Fishery Industry; (2) Mining and Quarrying Industry; (3) Manufacturing Industry; (4) Production and Supply of Electricity, Gas, and Water; (5) Construction Industry; (6) Transportation and Post and Telecommunications Industry; (7) Wholesale and Retail Trade and Catering Industry; (8) Financial and Insurance Industry; (9) Real Estate Industry; (10) Other Industries. In addition to the above statistical analysis sample, this book also widely collects and analyzes data and information from other enterprises and enterprise groups to make the research report more comprehensive and enriched.
