Features: Balancing and coordinating the interests of large and small shareholders, appropriate allocation and temporary management of corporate control, the reasonable embodiment of shareholder democracy and corporate autonomy, the establishment of the fiduciary and diligent duties of directors, supervisors, and senior management, the safety considerations for the interests of corporate creditors, the design of pathways to resolve corporate deadlocks, and all legal concerns that primarily affect merchants, lawyers, and judges. The main structure of China's 2005 revised Company Law is constructed based on internationally accepted corporate legal technical norms, professional standards, and institutional choices that align with China's actual circumstances. In this revision of the textbook, three new chapters have been added according to the changes in the Company Law, and the content of all other chapters has been thoroughly reviewed. Additionally, the format of about one-third of the chapters has been adjusted. Regarding the partnership enterprise law section, it was initially planned to add a chapter on limited partnerships, but the revision of the Partnership Enterprise Law is not yet complete. It may be better to wait until the next reprint or revision of the fifth edition. The other two legislative projects that affect the lifecycle of the textbook Corporate and Business Law of Enterprises and Companies are the Commercial Registration Law and the Bankruptcy Law. These two national legislative projects have already been initiated, and results are expected this year or next. Revisions can be made at that time.
