Features: Company form, having undergone centuries of development, has become an important form of enterprise and is widely adopted by countries around the world, playing a significant role in socio-economic activities. In its evolution, the company has gradually become integrated with the law and has grown increasingly closer. Many of the company's practices have merged with the specific forms of law, forming a series of legal norms that have transformed the company form into a legally recognized one, and the company system into a legally established one. Company law is the fundamental law that establishes this form and embodies this system. Company laws in various countries, to a great extent, reflect the experience of company development and incorporate the achievements of economic development. Particularly in economically developed countries with a high degree of socialized production, their company laws hold greater research value. Therefore, when boldly absorbing and learning from advanced technologies, scientific business practices, and management methods that reflect the general principles of modern socialized production and market economy from countries around the world, including capitalist developed nations, company law should be included as a subject of study and reference. This will have a positive impact on China's economic development, reform and opening-up, and legal system construction, and may even have a more significant impact, contributing to the advancement of socialized production, promoting corporate system innovation, improving economic efficiency, enhancing management, and ultimately reflected in the development of productive forces. Of course, research on foreign company laws will also facilitate specialized studies on legal and economic issues, broaden the scope of research, and deepen its intensity.
In 1992 and 1993, while drafting the company law, we organized the translation of the latest editions of company laws from the United States, Germany, the United Kingdom, France, Japan, and other countries to better understand foreign company systems and draw on useful experiences. These translations were jointly compiled and published by the Legal Press. The purpose of the translation, in addition to legislative needs, was also to meet the demands of foreign economic and trade development and domestic research. Five years later, research on foreign company laws remains a topic for legislation, and due to the expansion of foreign economic and trade relations, there is an even greater need to understand the current company legal systems abroad. Meanwhile, domestic research on company law has flourished in recent years, showing encouraging progress, and it is also necessary to provide foreign materials. Therefore, based on the latest editions of company laws from some countries, we have either translated them anew, supplemented the existing translations, or removed provisions that have been abolished from the original translations. Additionally, we have translated laws from other countries. For the convenience of readers, these are published in separate volumes by country.
