Features: The 18th meeting of the Standing Committee of the 10th National People's Congress revised China's "Company Law" for the third time in October 2005. This revision was made in response to the new situation following China's entry into the World Trade Organization, the significant progress achieved in the corporate reform of Chinese enterprises, and the 12 years of experience in implementing the "Company Law." It comprehensively reflects the current development status of corporate enterprises in China and addresses a series of issues related to the "Company Law" and corporate operations and development. These include problems such as excessively high registered capital requirements for company establishment, phased capital contribution, foreign investment in companies, corporate governance structures, the denial of corporate personality, the protection of shareholders' rights, and the coordination between the "Company Law" and the "Securities Law."
To assist in learning and understanding the "Company Law" and related concepts, we have organized the compilation of this "Dictionary of the Company Law." The terms selected for this book primarily involve vocabulary related to the "Company Law" and its affiliated regulations, as well as some documents and basic terminology associated with the "Company Law." The book provides concise explanations of these concepts and related content, along with references to relevant legal provisions to indicate their legal basis.
It should be noted that since some documents were issued before the revision of the "Company Law," their provisions may not fully align with the revised "Company Law." Readers are advised to pay attention when using these documents.
