Publish Date: 2006-06-01
Features: Balancing and coordinating the interests of large and small shareholders, appropriate allocation and temporary management of corporate control, the reasonable embodiment of shareholder democracy and corporate autonomy, the establishment of the fiduciary and diligent duties of directors, supervisors, and senior management, the safety considerations for the interests of corporate creditors, and the design of pathways to resolve corporate deadlock—all the legal issues of concern are primarily those encountered or faced by merchants, lawyers, and judges. The main structure of China's 2005 revised Company Law is constructed from internationally accepted corporate legal technical norms, professional standards, and institutional choices that align with China's actual circumstances. In this revision of the textbook, three new chapters have been added based on the changes in the Company Law, and the content of all other chapters has been thoroughly reviewed. Additionally, the format of about one-third of the chapters has been adjusted. Regarding the partnership enterprise law section, it was originally planned to add a chapter on limited partnerships, but the revision of the Partnership Enterprise Law has not yet been completed. It might be better to wait until the next reprint or revision of the fifth edition. The other two legislative projects that affect the lifecycle of the textbook Corporate and Business Law are the Commercial Registration Law and the Bankruptcy Law. These two national legislative projects have already been initiated, and results are expected this year or next. Revisions can then be made at that time.
