Features: The author has long been concerned with the structure of modern corporate governance; regarding the legal system of independent directors, it has been six or seven years of reflection. In 2003, in the author's doctoral dissertation in law, a comparative systematic analysis and research on the independent director system had already been conducted from the perspectives of jurisprudence and corporate law. However, the author always felt that the issue was not yet resolved, the research conclusions were not satisfying, and there was still a desire for innovation and continuous research. This is the basic origin of the book that the author wishes to convey to the readers. The book presented before the readers, although it studies a legal system, a new and timely social profession, and a legal phenomenon, strictly speaking, it is not a legal work but a monograph in sociology, and it is the author's research report on the postdoctoral study in institutional sociology at the Postdoctoral Research Station of the Institute of Sociology, Chinese Academy of Social Sciences. In February 2001, the author and Professor Li Hanlin, Vice Director of the Institute of Sociology, Chinese Academy of Social Sciences, as members of the 8th National Youth League Committee, accompanied the Mainland Outstanding Youth Lantern Festival Tour Group of the All-China Youth Federation to visit and examine the precious island of Taiwan for a fifteen-day trip. After long and meticulous revisions, this article was completed. The book explores the emergence, development, transplantation, variation, and further construction of the independent director system in China from the perspective of sociology.
