Western countries have over a century of history in corporate mergers and acquisitions, but their success rate has remained low. Against the backdrop of significant development in domestic mergers and acquisitions, how to improve their success rate by addressing the complexity of these activities has become an urgent issue for domestic academia to research and resolve. It systematically reviews five global waves of mergers and acquisitions and three waves in China, delves into their effectiveness, and proposes reasonable motivations for mergers and acquisitions strategies and fundamental models for strategic mergers. It analyzes the emergence, role definition, selection criteria, and responsibilities of integration managers in mergers and acquisitions, and elaborates on a deeper understanding of how synergies are achieved in these activities, as well as the pathways to realizing synergies. By constructing an effectiveness model for corporate mergers and acquisitions, it reveals the mechanisms of effectiveness at the corporate level.
