What is a one-person company? Can a company be set up with only 6,000 yuan? Can shareholder qualifications be inherited? Can registered capital be paid in installments? How are the interests of minority shareholders protected? Can shareholders withdraw after a company is merged? Is there a possibility for minority shareholders to dismiss the chairman? Are activities beyond the scope of business operations always invalid? Can civil servants realize their "dream of being directors"? Are employees merely "pure laborers"? Do company shareholders always bear limited liability? Can a company lend money to its directors? Can a manager only be a high-level employee? What happens if a registered share is stolen? How should company profits be distributed? The new company law has been promulgated, and these questions are introduced. On October 27, 2005, the company law was substantially amended, so the company law today is a completely new one. To facilitate everyone's study and research of the company law, we have organized the writing of this new book—Illustrated New Company Law. The company law is a very applied law. Currently, readers are most concerned about how to apply the new company law to our daily lives and solve practical problems in a tangible way. This is both what readers are concerned about and what they demand, and also the purpose of writing this book. General textbooks and commentaries on legal provisions tend to emphasize theoretical elaboration and rigorous logic, so readers need to calm down and spend a lot of time to appreciate their mysteries. But now, the pace of society has accelerated rapidly, and time is becoming more valuable. People often only have a few minutes to study on a bus or before taking a break. To adapt to this change, we use storytelling to tell everyone about the changes in the new company law in a relaxed and pleasant atmosphere, accompanied by comparative analysis of old and new legal provisions and vivid cartoons, allowing everyone to easily grasp the essence of the new company law. Compared to other current company law books, this book has the following characteristics:
1. In terms of content, we do not cover all aspects of company law or aim for comprehensiveness but make careful selections, focusing on analyzing and researching the difficult and controversial issues in the application of the new company law that readers are most concerned about.
2. We emphasize the comparison between the old and new company laws, avoiding the inappropriate influence of the old company law that may linger in our minds and paying more attention to the new opportunities brought by the new company law to our socio-economic life.
3. To create a relaxed atmosphere, we use cartoons to bring readers closer and convey the new rules of the new company law through engaging stories, with a language style that is both lively and humorous, striving for simplicity and ease of understanding. This not only avoids the psychological pressure of reading but also helps readers better grasp the essence of the new company law. This book was mainly written by me and my graduate students from the civil and commercial law program—Wang Wei, Hu Bin, Bei Jinxin, Yang Zhao, Wang Haili, and Ren Jincheng—together. It was uniformly revised and finalized by me. Although we have made our utmost efforts, due to our limited capabilities and the fact that the new company law has just been promulgated, we may not have had enough time to study and appreciate its spirit, and there may be omissions and errors. Please forgive us.
