Based on the theoretical analysis of the rational layout of the state-owned economy, combined with the current status and issues of the state-owned economy layout in China and the strategic adjustment goals, it proposes countermeasures and suggestions for the content and pathways of the strategic adjustment of the state-owned economy layout. Chapter 3 discusses the improvement of the modern enterprise system, primarily studying the evolution of the modern enterprise system, the significance, achievements, and existing problems of the corporatization of state-owned enterprises, as well as the key points, difficulties, and countermeasures for improving the modern enterprise system. Chapter 4 examines foreign investment mergers and acquisitions in SOE reform, systematically analyzing the new dynamics of cross-border mergers and acquisitions and the main models of foreign investment mergers and acquisitions. Combined with the basic status of foreign investment mergers and acquisitions of Chinese SOEs, it emphasizes the analysis of the suitability of foreign investment mergers and acquisitions with SOE reform, and proposes several suggestions for foreign investment mergers and acquisitions of SOEs, along with case studies of foreign investment mergers and acquisitions in practice. Chapter 5 addresses the reform of the state-owned asset management system, pointing out several countermeasures for the reform. Chapter 6 focuses on creating a favorable external environment for SOE reform and development, proposing countermeasures such as the practical transformation of government functions, the improvement of the market system, the deepening of reforms in finance, investment, and taxation, the full play of the role of intermediary institutions, and the establishment of a sound social security system.
