Features: Designated teaching material for the training course of independent directors of listed companies. To facilitate the smooth progress of the "Training Course for Independent Directors of Listed Companies," Tsinghua School of Economics and Management has specifically organized a research team to conduct case studies on hot issues of corporate governance based on some cases of false financial reporting and infringement on the interests of small and medium shareholders that have been successively announced and handled by the China Securities Regulatory Commission. The content covers falsification of financial reports by listed companies, false statements in the issuance of stocks, internal control, major shareholders occupying huge funds of listed companies, control rights struggles of listed companies, violations of information disclosure, unfair related-party transactions, and false capital contributions by major shareholders. The selected cases include some listed companies, and the editors have also selected typical cases that occurred during the development of foreign securities markets. The editors hope to highlight the severity and harm of corporate governance deficiencies in Chinese listed companies through this, and have proposed corresponding recommendations for reference to help listed companies improve their corporate governance level.
