Features: At the time of the national amendment of the Company Law, Professor Wang Baoshu of the Law School of Tsinghua University organized several renowned scholars of commercial law in China to compile this draft proposal based on summarizing the experiences and lessons learned from the implementation of the current Company Law of China, as well as the new requirements of economic development. Currently, relevant departments are actively working on the amendment of this law. Meanwhile, the academic community has conducted in-depth research and extensive discussions on the amendment of the Company Law. This book is a draft proposal for the amendment of the Company Law organized by the renowned commercial law scholar Professor Wang Baoshu of China. The book is divided into two parts: First, the draft proposal for the amendment of the Chinese Company Law; Second, the rationale and reference legislative examples for the draft proposal for the amendment of the Chinese Company Law, including the content of the provisions, legislative rationale, original provisions before amendment, relevant laws, regulations, and government department rules, judicial interpretations, and foreign legislative examples. This arrangement is conducive to readers understanding the connotation of the provisions, the background of formulating the provisions, and drawing on the legislative experience of foreign countries.
