Features: To adapt to the rapid changes in the economic situation, align with the global wave of corporate law reforms, and also to achieve international alignment to overcome economic downturns, Japan has recently focused on commercial law reforms, particularly those related to corporate law. Building on multiple revisions since the 1990s, Japan, which previously lacked a unified corporate law code, is now more ambitious plans for corporate law reform. This includes abolishing the "Limited Liability Company Act" and establishing a comprehensive, unified corporate law code by separating the joint-stock company system from the "Japanese Commercial Code." In 2003, the Japanese Ministry of Justice released the "Outline for the Modernization of Corporate Law," which presented the following three forms of expression:
1. How to do it: The future corporate law will be formulated according to the provisions in the outline.
2. Exploring a certain direction: Although the final reform plan has not yet been determined, there are views.
3. Issues still under discussion.
This book compiles the "Outline" and its "Supplementary Explanations," reflecting the latest dynamics in Japan's corporate law legislation and showcasing the latest achievements in Japanese corporate law research.
