Features: Commercial law adjusts its objects of regulation to the complex and ever-changing commercial legal relationships. Compared to other legal branches, commercial law is relatively more practical and applicable. In the common law system, although there are also a large number of written commercial laws, case law has always played an indispensable and irreplaceable role. Case law holds the core position of legal norms, while commercial statutes play only a general role in a certain sense. The specific legal application in concrete cases still depends on the ever-evolving case law. Although this characteristic is a commonality of legal sources in the common law system, commercial law, due to its developmental and dynamic nature, makes this feature more pronounced. In civil law countries, regardless of whether or not case law can or to what extent it can become a legal source, it is certain that courts and other legal practice departments, as well as the legal academia, have increasingly emphasized the importance of judicial cases (in cases where they cannot become legal sources, what is usually referred to as case law should strictly be called judicial cases in a narrow sense). Based on the strong practicality and applicability of commercial law, commercial case law undoubtedly holds greater value for commercial adjudication and teaching and research in commercial law. Against the backdrop of the gradual convergence of the two legal systems, China, which has inherited the tradition of the civil law system, although not recognizing judicial cases as one of the legal sources, undeniably holds an actual "binding force" in judicial practice and an extremely important value in teaching and research in commercial law. Regarding commercial law, as China's market economy system itself is still in the process of gradual construction and improvement, the corresponding commercial legal system is still very incomplete. As a result, there are often numerous new commercial disputes lacking clear legal provisions or where existing legal provisions are unreasonable, making it difficult to resolve these disputes properly in court. Therefore, just as judicial interpretations hold a special status in China, commercial judicial cases also often have a certain innovative function in law. Correspondingly, commercial law teaching and research cannot be confined to legal provisions but must also analyze a large number of judicial cases to uncover problem-solving rules with actual binding force and, on this basis, construct a corresponding theoretical system to provide theoretical support for future commercial legislation. In addition, regarding commercial law teaching, beginners, due to their limited intuitive understanding, often find it difficult to grasp the various complex commercial legal systems. Therefore, it is even more necessary to study a large number of typical commercial cases to ensure their understanding of commercial legal systems and theories can be put into practice. The readers of this book are primarily undergraduate students of law in higher education institutions. However, based on the theoretical and practical role of commercial case law mentioned above, it can also serve as a reference book for master's students, especially those in economic law and civil and commercial law, to study and research commercial law. In addition, legal practitioners and other legal practice departments can also gain new commercial legal spirits and concepts reflected in typical commercial cases. When compiling this book, we arranged and selected the content based on the following factors: (1) arranged it basically in accordance with the format and order of textbooks to facilitate readers' reference; (2) selected representative and difficult cases but ensured that each case has legal applicability and theoretical certainty; (3) after the "case introduction," explicitly stated the legal issues involved in the case in the form of "issues," and sometimes raised related issues for integrated analysis; (4) in the "comments" section, highlighted basic legal systems and theoretical issues and analyzed the profound legal principles involved or arising from the case; (5) listed the relevant laws and regulations for each case to provide readers with a clear institutional comparison. Under the premise of the completeness and systematic nature of this book's "Commercial Law" textbook, we selected typical and difficult cases covering its key, difficult, and examination points for comprehensive comments to train students' legal analysis skills.
