Features: This book examines nearly all the important legal issues related to foreign-invested joint-stock companies, clarifying its own perspectives on many of these issues and reflecting the author's value orientation towards them. The book is both a National Social Science Fund Project and partly based on the author's doctoral dissertation. In China, foreign-invested joint-stock companies, as an independent form of corporate entity, have been formed and developed alongside the deepening of the economic system reform, the expansion of foreign investment utilization, and the continuous development of socialist commodity economy. As a legally constructed "living" entity, foreign-invested joint-stock companies involve numerous legal issues, including fundamental characteristic questions, a series of complex issues during the establishment process, and adjustments of internal and external relationships, such as the organizational structure system and operational mechanisms, as well as the content of management and operations. The author of this book explores the interrelationships of the aforementioned issues concerning foreign-invested joint-stock companies from a macro perspective, conducts in-depth analyses of many specific issues from a micro perspective, and further points out that clarifying relationships and improving legislation are the fundamental guarantees for the smooth establishment and effective functioning of foreign-invested joint-stock companies.
