Features: The Uniform Commercial Code (UCC) is one of the most notable achievements in the history of American legal evolution. Although it is merely a model code, the UCC has had a profound impact. It has been adopted as formal legislation by all 50 states and the District of Columbia (with Louisiana not fully adopting it), the U.S. Virgin Islands, and Puerto Rico. It can be said that the UCC has eliminated the barriers caused by differing state commercial laws on interstate transactions, achieving uniformity in laws related to the sale of goods, negotiable instruments, secured transactions, and credit. As its name suggests, the UCC's content is based on different stages of commercial transactions. The code is divided into 11 articles, presented in the form of general principles and specific sections, summarizing and systematizing commercial rules and practices in practice. It covers legal aspects such as contracts for the sale of goods, consumer leases, financial leases, commercial paper law, bank deposit instruments, fund transfers, letters of credit, warehouse receipts, bills of lading, investment securities, and secured transactions. Structurally, the UCC consists of two parts: the legal provisions and official interpretations appended to the provisions. The latter aims to explain the background and principles of the provisions, and its importance is no less than that of the provisions themselves.
