Features: After the promulgation of the "Main Company Law of the People's Republic of China" in 1993, the renowned legal scholar Professor Jiang Ping edited the "New Company Law Teaching Materials." Since its publication in 1994, this textbook has been widely welcomed by readers at various levels, especially by students of civil and commercial law and economic law, and has had a positive impact. After the publication of the "New Company Law Teaching Materials," the economic situation in our country underwent significant changes, and the corresponding laws also experienced varying degrees of amendments: the "Company Law" was amended in 1999, the "Securities Law" and "Contract Law" were promulgated, the "Economic Contract Law" was abolished, and laws and regulations such as the "Criminal Law" and "Accounting Law" were amended to varying extents. In light of this, we have specially invited the authors to revise the textbook according to the current laws and regulations. This revision, while maintaining the original features and basic content of the textbook, primarily makes the following modifications: amending the content of the supervisory committees of state-owned single-shareholder companies and the contributions of initiators of joint-stock limited companies in accordance with the amendments to the "Company Law," reinterpreting the company division and the systems of company capital reserves and public welfare funds; providing new explanations for the procedures of share issuance in line with changes in securities issuance policies; appropriately revising and supplementing relevant content in accordance with the "Contract Law." At the same time, the revised "Criminal Law" reflects changes in corporate criminal liability. New provisions in the Company Law of the Taiwan region, such as those on reinvestment, have also been partially incorporated. Additionally, to facilitate reader learning, the textbook has included the "Company Law" and the "Administrative Regulations for Company Registration" as appendices. We hope that the revised textbook can better reflect the current reality of China's legal development and legal progress, and better meet the practical needs of a broad readership. Due to the urgency of time and limited experience, omissions are inevitable, and we welcome readers to continue to provide criticism and suggestions.
