To facilitate the teaching of the "Independent Directors Training Program for Listed Companies," Tsinghua School of Economics and Management has specifically organized a research team to conduct case studies on key corporate governance issues from cases that the China Securities Regulatory Commission has announced and handled in recent years, involving the issuance of false reports and infringement on the interests of small and medium shareholders. The content covers financial report fraud by listed companies, false statements in the issuance of stocks, insider control, major shareholders occupying huge funds of listed companies, control rights struggles in listed companies, violations of information disclosure, unfair associated transactions, and false capital contribution by major shareholders. Selected cases include some listed companies as well as typical cases from the development of foreign securities markets.
The editors aim to reveal the severity and harmfulness of corporate governance flaws in China's listed companies and provide corresponding recommendations for reference, helping listed companies improve their corporate governance standards. This book can serve as a teaching material for listed companies to enhance corporate governance and standardize corporate operations. It is also suitable for teachers and students of universities and colleges majoring in economics, management, and legal research as a reference book.
