Features: The human capital studied in this research specifically refers to knowledge, skills, abilities, and information formed through investment and existing within the living bodies of employees in active enterprises. Human capital with independent commodity forms, such as patents, technology, and knowledge, is not within the scope of this research. This study primarily employs institutional analysis as the research method, comprehensively using normative and empirical research, quantitative and qualitative analysis, case studies, and other methods to strive for an in-depth exploration of this issue. The main arguments of this research are as follows. First, the enterprise is a cooperative contract between human capital and physical capital. Second, the changing bargaining power between human capital and physical capital is the main thread of enterprise institutional evolution. Third, the participation of human capital in enterprise income distribution is a result of the game between human capital and physical capital, and the emergence of this equilibrium is influenced by multiple factors. Fourth, the participation of human capital in enterprise income distribution is divided into monetary and rights-based methods. The specific method by which human capital participates in enterprise income distribution fundamentally depends on the type of production factor human capital provides to the enterprise. Although China has conducted various attempts to allow human capital to participate in enterprise income distribution, due to reasons such as China just entering the mid-stage of industrialization, human capital not yet fully emerging as an independent form of capital, the limited current institutional framework being unable to truly realize this system, and the governance structure still under construction, China is not suitable for fully implementing human capital participation in enterprise income distribution. It can only be practiced in specific industries and enterprises.
